Tiivistelmä
Tässä pro gradussa tutkittiin listaamattoman kasvuyrityksen arvonmäärittämistä. Yritysten rationaalisen päätöksenteon tavoitteena on ensisijaisesti omistaja-arvon maksimointi. Tarve yrityksen arvon määrittämiselle voi johtua monestakin eri syystä. Usein arvonmäärityksen motiivina on erilaiset omistuksen muutostilanteet yrityksessä.
Tutkimusmetodina käytettiin case-menetelmää ja tutkimuksen tavoitteena oli teoriaosuudessa fokusoitua kasvuyritysten arvonmääritysmalleihin ja siinä käytettävään oman pääoman tuottovaatimukseen ja sen määrittämiseen. Lisäksi perehdyttiin strategiseen pääomasijoittamiseen. Tutkittavia case-yrityksiä oli viisi, joista jokaiselle on järjestetty osakeanti kuluvana vuonna. Empiirisessä tutkimusosuudessa arvonmääritysmenetelmäksi valittiin DCF-malli, minkä avulla case-yritysten valuaatiot määritettiin. Saatuja tuloksia verrattiin yrityksen sijoituspalvelussa käytettyyn osakeannin pre money -valuaatioon.
Tutkimusten tulosten mukaan case-yritysten osakeannin pre money -valuaatiot eivät olleet korkeampia kuin DCF-valuaatiot ja osakeannissa käytetyt valuaatiot olivat perusteltavissa antiin osallistuville sijoittajille. This master thesis explored the valuation of an unlisted earlier stage growth company. The aim of rational business decision-making is primarily to maximize shareholders value. The need for determine the value of a company may be due to a variety of reasons. Usually valuation is motivated by different ownership changes in the company.
The aim of the case study in theory part is to focus on the valuation models of unlisted growth companies and the return on equity. In addition the study dealed with corporate venture capital. There were five case companies under study, each of which has had a share issue in this year. In the empirical part of the study the DCF model was chosen as the valuation method which eventually determined the value of the case firms. The results were also compared with the pre-money valuation.
According to the results of the study, the pre-money valuations of the case companies' share issue were not higher than the DCF values and were therefore acceptable for the investors participating in the share issues.
