Tiivistelmä
Tämä tutkielma pyrkii muodostamaan käsityksen Suomen osakemarkkinoiden reaktioista toimitusjohtajavaihdoksiin. Reaktioita tarkastellaan osakkeiden epänormaalien tuottojen avulla. Tärkeässä roolissa ovat myös vaihdoksen taustatekijät sekä nimetyn johtajan alkuperä, sillä taustat määrittelevät vaihdoksen syyn, ja vaikuttavat markkinoiden reaktioon. Taustojen tunteminen auttaa myös tulkitsemaan markkinoita ja tuloksia.
Tutkimus suoritetaan kvantitatiivisin menetelmin tapahtumatutkimuksena. Osakkeen epänormaalin tuoton avulla tutkitaan, onko osakkeen tuotto ollut pienempi vai suurempi kuin siltä normaaliolosuhteissa odotettaisiin. Kumulatiivisilla epänormaaleilla tuotoilla havaitaan pidemmän aikavälin tuottokertymä yksittäisiä päiviä paremmin. Epänormaalien tuottojen tilastollista merkitsevyyttä testataan parametrisella t-testillä. Data on kerätty Helsingin pörssissä noteeratuista yhtiöistä, jotka ovat vaihtaneet toimitusjohtajaa vuosina 2010-2014. Tapauksia tutkimuksessa on 38.
Tulokset ovat teorian ja järjen valossa hyvinkin loogisia: vaihdoksen taustat vaikuttavat suuresti markkinoiden reaktioon. Koko aineistoa tutkimalla ei saatu tilastollisesti merkitseviä tuloksia, minkä johdosta aineisto luokiteltiin kahteen ryhmään, sen mukaan, oliko vaihdos rutiininomainen vai ei-rutiininomainen, sekä sen mukaan, nimettiinkö seuraava toimitusjohtaja yrityksen sisältä vai ulkopuolelta. Markkinat reagoivat vahvemmin ei-rutiininomaisiin vaihdoksiin, joiden kumulatiiviset epänormaalit tuotot olivat negatiiviset koko seuraavan kuukauden ajalta. Ulkopuolisen johtajan nimeämiseen suhtauduttiin positiivisesti, toisin kuin sisäpuolelta nimettyyn, joka olikin ehkä tutkimuksen yllättävin tulos.
Tarkemmat tulokset vaatisivat taustatekijöiden tarkempaa analyysiä. Erityisesti vaihdosta edeltänyt menestys vaikuttaa markkinoiden reaktioon: jos toimitusjohtajan vaihtoa pidetään ratkaisuna johonkin ongelmaan, markkinat reagoivat positiivisesti; jos taas vaihdoksen voidaan katsoa lisäävän epävarmuutta, markkinat reagoivat negatiivisesti. The aim of this Bachelor’s thesis is to find out how stock markets react to CEO turnover in Finland.
The research is made by evaluating the abnormal returns around the change. Also, the factors behind the termination, and the origins of a newly appointed CEO are examined. Knowing the backgrounds of changes helps to group the data and to analyse the markets and the results.
The research is made with event study methodology. The idea of an event study is to investigate effects of a specific event to stock markets. The abnormal returns of an event are being tested to see if they differ from the expected value. Also, cumulative abnormal returns are calculated to see the development and accrual of a longer period. The statistic test used is the parametric t-test. The events are collected from all the companies traded in Nasdaq Helsinki Oy. The data consists of 38 events between years 2010 and 2014.
The data is divided into two groups based on whether the change was seen as a routine departure or non-routine, and also, whether the CEO was appointed from inside the company or outside. The received results are logical in the light of previous research and common sense. Changes which were not classified as routine departures, had stronger reaction and the cumulative abnormal returns were negative for the whole following month. Routine changes have negative reaction on the event day. When outsider was appointed, positive reactions outperformed negative ones, and the cumulative abnormal returns were statistically positive. The most surprising result was the big negative reaction to appointment of an insider.
For more meaningful results, more detailed analysis of a financial state of a company should be made to interpret the market reactions: if the change is seen as a solution for a problem, markets react positively, and opposite, if the change increases contingency, markets may react negatively.
